This Taskity Customer Agreement is between you or the entity you represent (“Customer”) and Taskity (collectively, “Taskity,” “we,” “us,” or “our”). This Agreement governs the Customer's access to and use of Taskity's cloud services, software, websites, and related support and advisory services (collectively, the “Products” or the “Service”).
By accessing, creating an account, placing an order, or using or downloading the Products, you confirm that you accept and agree to be bound by this Agreement. If you do not agree to this Agreement, do not access or use the Products.
1. Overview
This Agreement covers the Customer’s purchase, access, and use of Taskity’s products, services, websites, and any related support or professional services (collectively, the “Products”). It outlines the mutual rights and responsibilities of Taskity and the person or organization that agrees to these terms (the “Customer”).
2. Use of Products
2.1 Permitted Use
Subject to this Agreement and during the applicable Subscription Term, Taskity grants the Customer a non-exclusive, worldwide right to access and use the Products for the internal business purposes of the Customer and its Affiliates, in accordance with Documentation and the Customer's Scope of Use outlined in the Order.
2.2 Restrictions
- rent, lease, sublicense, resell, distribute, or provide access to the Products to third parties, except as permitted for Users
- remove, obscure, or alter any proprietary notices in the Products
- reverse engineer, decompile, disassemble, or try to discover source code or non-public APIs
- use the Products to develop a competing product or service
- bypass usage limits, quotas, or other restrictions
- use the Products to store or transmit illegal content or otherwise breach applicable law or the Acceptable Use Policy.
2.3 Documentation & Updates
The Customer will use the Products according to Taskity's Documentation. Taskity may update or change the Documentation periodically.
3. Users, Accounts & Credentials
3.1 Users
The Customer may authorize Users to access and use the Products according to the Account type and Scope of Use in the Order. The Customer is responsible for the activities of its Users and for ensuring that its Users comply with this Agreement.
3.2 Account Administration & Login Credentials
The Customer will keep accurate administrative contact details and is responsible for all activities on the Customer's account, including safeguarding User credentials. Customer will promptly inform Taskity of any unauthorized access or security breach.
3.3 Age Requirements & Domain Verification
Products are not meant for use by minors. Customer must ensure that Users meet the applicable age requirements. If a Product requires domain or ownership verification, Taskity may verify the domain ownership and may refuse to activate domain-dependent features until verification is successful.
4. Cloud Products (SaaS)
4.1 Customer Data
“Customer Data” means data and content uploaded, stored, or otherwise provided by Customer or Users during the use of the Cloud Products. Customer retains all ownership rights in Customer Data. Subject to Customer's rights, Customer grants Taskity a worldwide, non-exclusive, royalty-free license to host, use, copy, transmit, display, and process Customer Data as necessary to provide, support, analyse, and improve the Products.
4.2 Security & Compliance
Taskity implements administrative, physical, and technical safeguards designed to protect Customer Data against unauthorized access, disclosure, or destruction. Details of Taskity's security program, certifications, and compliance information are available in the Taskity Trust & Security documentation (or Trust Centre) and may be updated periodically.
4.3 Service Levels & Availability
Service levels (if any) for Cloud Products are outlined in the applicable Service Level Agreement (SLA). Taskity aims to provide continuous access but does not guarantee uninterrupted or error-free operation. Maintenance windows and scheduled downtime may occur.
4.4 Removals, Takedowns & Suspension
Taskity is not required to monitor Customer Data but may remove or restrict access to Customer Data (or suspend access to Products) if: (a) Customer's use violates law or this Agreement; (b) Customer Data infringes third-party rights; or (c) Customer's use jeopardizes the security, integrity, or availability of the Products. When possible, Taskity will notify the Customer and offer an opportunity to address the issue.
5. Customer Obligations
The Customer will: (a) provide accurate information required for provisioning the Products; (b) obtain and maintain all consents, licenses, or rights necessary to allow Taskity to host, process, and use Customer Data; (c) ensure Users comply with this Agreement; and (d) comply with any export, import, and other applicable laws.
6. Third-Party Products & Integrations
6.1 Third-Party Products
Products may connect with third-party applications, services, or marketplace add-ons (“Third-Party Products”). Customer's use of Third-Party Products is governed by the third party's terms, and Taskity is not responsible for the availability, security, or performance of Third-Party Products.
6.2 Open Source & Third-Party Code
Products may include or depend on third-party or open-source software that is subject to separate license terms. These components are governed by the relevant third-party notices and licenses.
7. Support & Maintenance
Taskity will provide support and maintenance as specified in the Order and applicable Support Policies. Availability, response targets, and service levels are governed by the Support Policy referenced in the Order.
8. Ordering, Fees & Billing
8.1 Orders and Subscription Terms
Customer's orders will specify the number of users, the company name, and the plan. Orders are governed by this Agreement.
8.2 Payment, Taxes & Invoicing
The customer will pay all fees in the currency and within the timeframes specified in the Order or invoice. Unless otherwise indicated, fees are non-refundable. The customer is responsible for taxes related to its use of the Products, excluding taxes on Taskity's net income.
8.3 Trial, Free & Promotional Offers
Free trials, beta features, and promotional offers are provided at Taskity's discretion and may be subject to different terms, limited functionality, or early termination.
8.4 Overages & Changes
If the Customer exceeds usage limits or increases the number of users, Taskity may bill additional charges or modify the fees as specified in the Order. Changes in Subscription or user counts might take effect in the next billing cycle or immediately, as specified in the Order.
9. Confidentiality
Each party will keep the other party's Confidential Information, including non-public technical, business, and pricing details, confidential and will not disclose it except to employees and contractors who need access for the performance of this Agreement, provided that confidentiality obligations bind them. Confidential information does not include information that is publicly available without breach of confidentiality, independently developed, or rightfully received from a third party.
10. Limitation of Liability
- Neither party will be responsible for any indirect, incidental, special, consequential, exemplary, or punitive damages (including loss of profits, business interruption, or data loss), even if they have been warned about such damages.
- Each party's total liability under this Agreement will not exceed the fees paid or payable by Customer to Taskity under the Order in the 12 months before the claim. This limit will not apply to liability from wilful misconduct, breach of confidentiality, or certain indemnity obligations.
11. Term & Termination
11.1 Term
This Agreement stays in effect as long as the Customer has an active Order or subscription. Specific subscription and renewal terms are detailed in the Order.
11.2 Termination for Cause
Either party may terminate due to a material breach if the breaching party does not cure it within the specified cure period after receiving written notice.
12. Notices
Notices under this Agreement must be sent by email to the addresses listed in the Order or the contact details specified in the Documentation. Notices become effective upon receipt (or when the sender receives delivery confirmation if sent by email).
13. Amendments
Taskity may modify this Agreement. Material changes will be notified to the Customer; continued use after notification constitutes acceptance of these changes. Non-material updates may take effect immediately.
14. Definitions
- Affiliate: an entity that controls, is controlled by, or is under common control with a party.
- Agreement: this Taskity Customer Agreement, along with all referenced attachments and Orders.
- Confidential Information: non-public business, technical, or financial data revealed by a party.
- Customer Data: data or content uploaded or provided to the Products by Customer or Users.
- Documentation: Taskity user guides, technical manuals, and specifications.
- Order: an online order form, subscription, or purchase order describing Products, quantities, fees, and other commercial terms.
- Product-Specific Terms: additional terms that apply to Products and are incorporated by reference.
- Scope of Use: limits on Users, seats, storage, or other usage limits specified in the Order.
- Support Policy / SLA: Taskity's published support and service level documentation.
